1. Acceptance of the Terms
By accessing or using the HomeMarket app, website, or related services ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree with any part of these Terms, you may not access or use our services.
HomeMarket is operated by Homemarket, Inc., a corporation organized under the laws of the State of Delaware, United States of America ("HomeMarket", "we", "us", "our"). These Terms apply to users of the App outside Brazil, including the United States, Canada, the United Kingdom, and the euro-zone countries where the App is available. Users located in Brazil are served by HOME MARKET CONSULTORIA E TECNOLOGIA LTDA. under a separate set of terms.

2. Description of the Service
HomeMarket is a technology platform that connects consumers ("Buyers") to independent sellers ("Sellers") who run small grocery and convenience stores from their own homes, for the purchase and delivery of grocery and convenience products to nearby neighbors. HomeMarket acts as a technological intermediary, facilitating the connection between the parties.
2.1. HomeMarket is NOT a supermarket, grocery store, or commercial establishment that sells products. We do not own, stock, handle, or deliver the products sold through the platform, and we are not a party to the sale between the Buyer and the Seller.
2.2. Sellers are independent individuals or legal entities who use our platform to sell products, being solely responsible for the quality, origin, storage, labeling, safety, and expiration of the products offered, as well as for the delivery of the orders they accept.
2.3. Legal nature of the relationship with HomeMarket
Access to and use of the App establish between you and HomeMarket a relationship of a strictly civil and commercial nature, governed by these Terms. Under no circumstances shall such relationship be interpreted as constituting an employment, agency, partnership, joint venture, or franchise relationship with HomeMarket. Sellers are independent contractors and are not entitled to wages, benefits, or any other rights of employees as against HomeMarket.
2.3.1. Buyers acknowledge that the purchase of products gives rise to a consumer and/or civil relationship directly with the Seller regarding the goods, and a relationship with HomeMarket limited to technological intermediation and to the platform services described in these Terms.
3. Registration and Account
3.1. To use the App, you must create an account by providing true, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your credentials and for all activities carried out in your account.
3.2. You must be at least 18 (eighteen) years of age — or the age of majority in your jurisdiction, if higher — to create an account and use our services.
3.3. We reserve the right to suspend or cancel your account at any time if a violation of these Terms or misuse of the platform is found.
3.4. HomeMarket reserves the right to refuse registrations and to suspend or deactivate, at its sole discretion, accounts of users who do not fit the platform's target audience or culture, including but not limited to:
- Persons associated or affiliated with unattended or autonomous micro-market networks;
- Persons associated or affiliated with competing delivery or marketplace platforms;
- Persons associated with pyramid schemes or multi-level marketing (MLM) sales networks;
- Persons who do not reside in the building, community, or neighborhood where they offer their products or services;
- Other cases that HomeMarket deems necessary.
4. Use of the Service by Buyers
4.1. By placing an order, you agree to pay the indicated price of the products, plus any applicable service and delivery fees and taxes, in the currency displayed by the store (US dollars, Canadian dollars, pounds sterling, or euros, as applicable).
4.2. Product prices and availability may vary according to the Seller and the location.
4.3. Any estimated delivery time shown in the App is a goal and not a guarantee. Actual delivery time may vary depending on Seller availability, weather, and other factors.
4.4. You undertake to be available at the delivery address provided at the time the order is received.
4.5. The Buyer acknowledges that using the App to place orders constitutes a relationship of a civil and consumer nature with the Seller regarding the products, and a civil and commercial relationship with HomeMarket limited to technological intermediation.
4.6. Age-restricted products (such as alcohol or tobacco, where a Seller is lawfully permitted to sell them) may only be ordered by, and delivered to, persons of legal age. The Seller may verify your age at delivery and refuse delivery if it cannot be verified.
5. Use of the Service by Sellers
5.1. Sellers are independent merchants, acting on their own account and risk, and have no employment, agency, or partnership relationship with HomeMarket. Amounts charged for the use of the technological services (including commissions and processing fees) constitute consideration for intermediation and platform services, and do not constitute wages or remuneration of any kind.
5.1.1. The Seller represents and warrants that it holds all licenses, permits, registrations, and authorizations required by applicable law — federal, state, provincial, national, and local — for the activity of acquiring and reselling food and convenience products at the location where it operates, including food-safety, health, business-licensing, and tax rules. When the activity is carried out on a property subject to a homeowners' association, condominium, co-op, landlord, or equivalent body, the Seller is solely responsible for complying with its bylaws, lease, and rules and for obtaining the required consents, releasing HomeMarket from any duty to obtain, validate, or oversee said permissions on its behalf.
5.1.2. The Seller uses the platform to advertise, promote, and enable the sale of products that it acquires with a view to resale, in a civil and commercial relationship with Buyers. HomeMarket does not employ the Seller, does not supervise the Seller's commercial conduct outside the use of the platform, and does not replace the Seller's legal obligations toward third parties or public bodies.
5.2. The Seller is fully responsible for:
- Keeping products under adequate storage and conservation conditions;
- Ensuring the origin, safety, and quality of the products sold;
- Complying with all applicable food-safety and health rules and regulations;
- Keeping product information, allergens, and prices up to date and truthful;
- Making deliveries within the agreed timeframe;
- Collecting, reporting, and remitting any sales tax, VAT, GST/HST, or other taxes due on its sales, and issuing receipts or invoices where required;
- Complying with the consumer-protection laws applicable at the Seller's location.
5.3. Commission and fees. HomeMarket charges a platform commission of 10% (ten percent) of the value of each sale made through the platform, unless a different percentage is displayed to the Seller at the time of registration or announced in the App. Payment-processing fees charged by our payment processor are also deducted from the Seller's payout. The commission and fees are deducted automatically before funds are transferred to the Seller.
5.4. Suspension, deactivation, and banning of Seller accounts. HomeMarket may, at its sole discretion and without prior notice, suspend, deactivate, or ban the account of any Seller whenever it understands, on reasonable grounds, that the account is not being used in compliance with these Terms or that its conduct compromises the security, trust, or proper functioning of the platform. The following constitute grounds for such measures, by way of example and not exhaustively:
- Advertising, promoting, or encouraging sales outside the App or through other platforms, channels, or applications, as well as enticing Buyers to transact outside HomeMarket with the purpose of circumventing the payment of the commissions and fees due;
- Violating these Terms, the applicable law, or third-party rights;
- Selling prohibited, illicit, counterfeit, expired, adulterated products, or products unfit for consumption;
- Providing false, misleading, or outdated information about identity, location, products, or prices;
- Engaging in fraud, payment manipulation, creation of fictitious orders, or any attempt to circumvent the platform's mechanisms;
- Operating without the licenses, permits, health authorizations, or property-owner permissions required for the activity;
- Accumulating repeated complaints from Buyers, recurring negative reviews, or habitually failing to meet delivery deadlines and conditions;
- Engaging in abusive, disrespectful, discriminatory, or threatening conduct toward Buyers, other Sellers, or the HomeMarket team;
- Creating or maintaining multiple accounts for fraudulent purposes or to circumvent prior suspension or banning measures.
5.4.1. Suspension, deactivation, or banning does not relieve the Seller of the obligations undertaken up to the date of the measure, nor does it give rise to a right to compensation. Whenever possible and appropriate, HomeMarket may notify the Seller of the reason for the measure and, at its discretion, grant a period for remediation before applying it definitively.
5.5. Demotion and reduced visibility. Regardless of the measures provided for in clause 5.4, HomeMarket reserves the right, at its sole discretion, to demote, reduce the prominence, visibility, or positioning of Seller accounts in search results, storefronts, recommendations, and other promotional spaces of the App, as well as to cease promoting them, whenever the experience offered to Buyers compromises the growth, reputation, or proper functioning of the platform. The following are factors that may give rise to such measures, by way of example and not exhaustively:
- Excessively long delivery times or times well above the average;
- Delivery of orders after the expected timeframe or recurring failure to meet the agreed schedules;
- Products delivered in unsatisfactory condition, damaged, with tampered packaging, or not in accordance with the order;
- Poor user experience for the Buyer, including deficient service, inadequate communication, or lack of courtesy;
- Low ratings, repeated complaints, or high rates of cancellation, refusal, or no-show by the Seller;
- Listing products with inaccurate information, low-quality photos, outdated prices, or inconsistent stock;
- Low order acceptance rate, frequent unavailability, or high response times;
- Any conduct that harms Buyers' trust in the platform or discourages new purchases.
5.5.1. Demotion measures are operational in nature and aim to preserve the quality of the platform experience. They do not constitute a penalty nor give rise to a right to compensation, and they may be reversed at HomeMarket's discretion as the Seller's quality indicators are restored.
6. Payments
6.1. Payment processor. Payments made through the App are processed by Stripe (Stripe, Inc. and its affiliates, "Stripe"). HomeMarket does not store your full card number. By providing payment information, you authorize HomeMarket and Stripe to charge the amounts due for your orders to the payment method you selected.
6.2. Accepted payment methods. We accept credit and debit cards through Stripe. Where a store offers it, you may also choose to pay on delivery (cash or another method agreed directly with the Seller), in which case the payment is made directly to the Seller and is not processed by HomeMarket or Stripe. Other methods (such as bank transfers, instant-payment systems, or meal vouchers) are not available under these Terms.
6.3. Currency. Orders are charged in the currency of the store you are buying from — US dollars (USD), Canadian dollars (CAD), pounds sterling (GBP), or euros (EUR). If your card is denominated in a different currency, your card issuer may apply conversion rates and fees over which HomeMarket has no control.
6.4. Card authorizations. Your card may be authorized when the order is placed and captured when the Seller accepts it or the order is delivered. Your bank may require additional authentication (such as 3-D Secure) before a payment is completed.
6.5. Seller payouts through Stripe Connect. To receive payments, Sellers must open and maintain a connected account with Stripe through Stripe Connect. By doing so, the Seller agrees to the Stripe Connected Account Agreement (which includes the Stripe Services Agreement) and authorizes HomeMarket to share the information needed to open and operate the account, to initiate payouts, and to deduct commissions, fees, refunds, and chargebacks. Sellers must provide Stripe with accurate identity, tax, and bank information and keep it up to date; payouts may be delayed or withheld until Stripe's verification requirements are met.
6.6. Sellers receive the value of their sales, less HomeMarket's commission and the applicable payment-processing fees, according to the payout schedule shown in the App and to Stripe's payout timing. Pay-on-delivery orders are settled directly between the Buyer and the Seller; HomeMarket's commission on such orders may be invoiced to, or deducted from, the Seller's next card payouts.
6.7. Chargebacks and disputes. If a Buyer disputes a charge with their card issuer, the disputed amount, together with any dispute fee charged by Stripe, may be deducted from the Seller's balance or future payouts, unless the dispute is resolved in the Seller's favor.
7. Cancellations and Refunds
7.1. Orders may be canceled by the Buyer before confirmation by the Seller, at no cost. Any authorization on the Buyer's card will be released.
7.2. After the order is confirmed, cancellation is subject to review and may incur a partial or full charge of the amount, depending on the stage of preparation and delivery.
7.3. In the case of defective, damaged, spoiled, or missing products, or products not in accordance with the order, the Buyer may request a refund or replacement within 7 (seven) days after receipt through the App. This does not limit any longer period or additional remedy granted to you by the consumer-protection laws of your country of residence.
7.4. Approved refunds of card payments are returned to the same card used in the purchase and typically appear on your statement within 5 to 10 business days after approval, depending on your card issuer. Refunds of pay-on-delivery orders are made directly by the Seller.
8. Intellectual Property
All content of the App, including but not limited to texts, graphics, logos, icons, images, audio clips, software, and data compilations, is the property of HomeMarket or its licensors and is protected by United States and international copyright, trademark, and intellectual-property laws. HomeMarket grants you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose in accordance with these Terms.
9. Disclaimers and Limitation of Liability
9.1. THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOMEMARKET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HomeMarket is not responsible for:
- The quality, safety, or legality of the products offered by Sellers;
- The truthfulness of the information provided by Sellers;
- Damages arising from delivery delays caused by factors beyond the platform;
- Temporary unavailability of the App due to maintenance or technical failures;
- Acts of third parties, including payment processors, or force majeure.
9.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOMEMARKET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OF THE APP. Our total liability to you, for any claim arising out of or related to the use of the App, will be limited to the amount you paid to HomeMarket in the transactions that gave rise to the claim during the 12 (twelve) months preceding the claim.
9.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or the statutory rights of consumers in the European Union, the United Kingdom, Canada, or any US state, which remain unaffected.
10. User Conduct
You agree NOT to:
- Use the App for illegal or unauthorized purposes;
- Violate any applicable laws;
- Provide false or misleading information;
- Interfere with or disrupt the integrity or performance of the App;
- Attempt to gain unauthorized access to the App or its systems;
- Use the App to send spam or unsolicited content;
- Scrape, copy, or reverse-engineer the App or its data;
- Create multiple accounts for fraudulent purposes.
11. Termination
You may close your account at any time through the App or by contacting us. HomeMarket may suspend or terminate your access to the App, with or without notice, for violation of these Terms or where required by law. Sections that by their nature should survive termination (including sections 6.7, 8, 9, 12, and 13) will survive.
12. Modifications to the Terms
We reserve the right to modify these Terms at any time. Significant changes will be notified through the App or by email at least 15 (fifteen) days before they take effect, except where a shorter period is required by law or for security reasons. Continued use of the App after the modifications take effect constitutes acceptance of the new Terms.
13. Governing Law and Jurisdiction
13.1. These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. Subject to clause 13.2, any dispute arising out of or related to these Terms or the App shall be submitted to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.
13.2. Consumers in the European Union, the United Kingdom, and other jurisdictions. If you are a consumer residing in the European Union, the European Economic Area, the United Kingdom, Canada, or another jurisdiction whose laws grant you mandatory consumer protections, nothing in these Terms deprives you of the protection afforded by the mandatory provisions of the law of your country of residence, nor of your right to bring proceedings before the courts of your country of residence. Consumers in the European Union may also use the European Commission's online dispute resolution platform.
14. General Provisions
14.1. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force.
14.2. HomeMarket's failure to exercise any right provided for in these Terms will not constitute a waiver of such right.
14.3. These Terms, together with our Privacy Policy and, for Sellers, the Stripe Connected Account Agreement, constitute the entire agreement between you and HomeMarket regarding the use of the App.
14.4. You may not assign these Terms without our prior written consent. HomeMarket may assign them to an affiliate or successor.
